Notes on the BioFoundry® SDK:
(1) Development of Java applications on non-Windows platforms is possible because the BioAPI-Java runtime is platform-independent. However, the Biometric Native Engine (and Biometric Service Providers) must be installed and run on a Windows machine.

SOFTWARE 30 DAY EVALUATION LICENSE AGREEMENT IMPORTANT—READ CAREFULLY: This License Agreement (“Agreement”) is a legal agreement between you and OSS Nokalva, Inc. for the Program(s) identified below, which includes computer software, source code, and associated media, printed materials, and “online” or electronic documentation (“Program”). IT IS NECESSARY FOR YOU TO AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE BEFORE YOU ARE PERMITTED TO CONTINUE TO EITHER INSTALL THE PROGRAM, OR DOWNLOAD THE PROGRAM. BY CLICKING THE [AGREE] ICON BELOW, OR BY INSTALLING, COPYING, DOWNLOADING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE INCUDING THE WARRANTY DISCLAIMERS, LIMITATIONS ON LIABILITY AND TERMINATION PROVISIONS. If installed on a computer owned by or located at an address of your employer or a company engaging you as a contractor, you are assumed to have agreed on its behalf. ("OSS"), One Executive Drive Suite 450, Somerset, New Jersey 08873 USA, grants to you ("Customer") and Customer accepts a non-transferable and non-exclusive license to use the licensed software program(s) ("Program(s)") on the following terms and conditions. Licensed Program(s) may include any error corrections, enhancements, or documentation updates related thereto that may be furnished by OSS to Customer hereunder or under any Maintenance Agreement that OSS and Customer may enter into from time to time with respect to any Program(s) ("Revisions"). LICENSE The Program(s) may be used only (1) to process your internal data; (2) to evaluate the Program(s) in connection with the possibility you will pay to license it; and (3) for a thirty (30) day Trial Period ( as OSS may, in its sole discretion in writing, extend for limited periods). The installation and use of Program is limited to the Customer’s computers used for evaluation purposes. Customer can not assign or sublicense the Program in any form whatsoever or distribute externally the Program, or any Customer Application developed with or incorporating the Program. All right, title, and interest in and to the Program(s) and all related material are and shall at all times remain the sole property of OSS. Neither the Program(s) nor this Agreement may be assigned, sublicensed or otherwise transferred by Customer without prior written consent from OSS. TERM This Agreement shall be effective on the date and time that any portion of the Program is downloaded by the Customer and shall remain in force until the end of the Trial Period unless terminated in accordance with the provisions set forth in this Agreement. OSS may terminate this Agreement if OSS has determined, in OSS’ sole discretion, that Customer has failed to comply with any of the terms and conditions of the Agreement. This Agreement shall automatically terminate upon filing of any petition under the Bankruptcy Code by or against Customer, upon any assignment for the benefit of creditors of Customer, or upon dissolution of Customer. PROTECTION OF PROPRIETARY MATERIAL "Proprietary Material" means any software and documentation, including source code, received under this Agreement. Customer expressly acknowledges that Proprietary Material is confidential and proprietary property of OSS and hereby agrees to receive and maintain it as a confidential disclosure. Customer agrees to treat source code as confidential and afford it the same care and protection given to other confidential information. Customer shall include any copyright proprietary rights notice provided by OSS in or on all Proprietary Material and any copies thereof which Customer may make. Customer will ensure that the Program(s) has been erased or otherwise destroyed prior to disposing of any copy or partial copy of the Program(s). Customer shall not de-compile, disassemble or otherwise reverse-engineer the Program(s) or any portion thereof. Customer shall not disclose any benchmark or other test, report or description of the Program, or distribute externally the Program or any Customer Application incorporating or developed using it without OSS’ advance consent in writing. Customer's obligations under this paragraph shall survive any termination or expiration of this Agreement. These obligations shall not apply, however, with respect to any of the algorithms, technology or know-how embodied in a Program(s) to the extent such information is or becomes available in the public domain through no fault of Customer. TERMINATION At the end of the Trial Period, or upon termination, you must erase or otherwise permanently destroy all copies of the Program(s), and all output from the Program(s). Within five (5) days after termination of license under this Agreement by OSS for reasons other than expiration of the Trial Period, Customer shall certify to OSS in writing that all copies and partial copies of the Program(s) and all output from the Program(s) have been erased or otherwise destroyed. DISCLAIMER OF WARRANTY OSS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THE PROGRAM(S). To the maximum extent permitted by applicable law, OSS and its suppliers provide the Product AS IS AND WITH ALL FAULTS, and hereby disclaim all other warranties and conditions, either express, implied, or statutory, including, but not limited to, any (if any) implied warranties, duties or conditions of merchantability, of fitness for a particular purpose, of accuracy or completeness of responses, of results, of workmanlike effort, of noninfringement, of lack of viruses, and of lack of negligence, all with regard to the Product, and the provision of or failure to provide support services. OSS MAKES NO REPRESENTATION OR WARRANTY REGARDING THE RESULTS OBTAINABLE THROUGH USE OF THE PROGRAM. LIMITATION OF LIABILITY AND INDEMNIFICATION EVEN IF ADVISED OF THE POSSIBILITY THEREOF OSS SHALL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, DELAY IN DELIVERY OR INSTALLATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR EQUIPMENT DOWN-TIME OR LOSS OF DATA, FOR CLAIM OR DEMAND AGAINST CUSTOMER BY ANY 3RD PARTY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE PRODUCT, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS AGREEMENT, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT, OR BREACH OF WARRANTY OF OSS. In no event shall OSS be liable for damages with respect to a Program(s) which exceeds the amount of the fees paid to OSS by Customer for such Program(s). Licensee agrees to indemnify and hold OSS, its directors, officers, employees, agents, and consultants harmless from and against all liability, demands, damages, expenses, and losses, including but not limited to personal injury, illness, or property damage in connection with or arising out of the use of the Program by or on behalf of Customer or Customer’s employees, students, contractors or agents. GENERAL This Agreement and all transactions under it will be governed by the laws of the State of New Jersey excluding its choice of laws rules, and all copyright and other applicable federal laws and international treaties protecting copyright, but excluding the United Nations Convention for the International Sale of Goods. In all disputes arising under this Agreement, the parties agree to submit to the exclusive jurisdiction of the New Jersey state courts in Somerset County. This Agreement is the entire agreement as to its subject matter and supersedes all prior agreements and representations, except for any Software Maintenance Agreement that the parties may enter into with respect to any Program(s). Customer agrees to pay reasonable expenses, including legal fees, incurred by OSS to enforce its rights hereunder and/or to collect any amount due it from Customer. This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors, assigns, and legal representatives provided, however, that the rights and duties of Customer hereunder with respect to a Program(s) may not be sold, assigned, sublicensed or otherwise transferred by it, in whole or in part, without the prior written consent of OSS. Except to the extent based upon OSS's net income, Customer shall have sole liability and duty to pay all taxes arising hereunder or under any related Maintenance Agreement now or hereafter in affect, including any sales, use, and value added taxes, and other governmental duties and charges. Customer will not export or re-export the Program or any Complete Application, or any other information supplied to Customer by OSS under this Agreement contrary to the laws of the United States, including without limitation all Export Administration Regulations of the United States Department of Commerce. Among other things, these laws and regulations prohibit or require a license for the export of certain types of commodities and technical data to specified countries. Customer hereby gives written assurance that it will comply with all United States export control laws and regulations, that it bears sole responsibility for any violation of such laws and regulations. Partial Invalidity. If any of the provisions of this Agreement will be invalid or unenforceable, the invalidity or unenforceability will not invalidate or render unenforceable this entire Agreement, which will instead be construed as if not containing the particular invalid or unenforceable provision or provisions, and the rights and obligations of the parties will be construed and enforced accordingly. Waiver. The failure of either party at any time to enforce any right or remedy available to it under this Agreement or otherwise with respect to any breach or failure by the other party will not be construed to be a waiver of such right or remedy with respect to any other breach or failure by the other party. Any waiver of the performance of any of the terms or conditions of this Agreement shall be effective only if in writing and signed by the party against which such waiver is to be enforced. Proprietary Rights Notice. Customer shall not remove any copyright, confidentiality, or other proprietary rights notice provided by OSS in connection with the Proprietary Material and any copies thereof which Customer may make. Ownership. Customer acknowledges that the Program is and shall remain the sole property of and proprietary to OSS. Nothing in this Agreement shall alter these rights and no title to or ownership of the Program or any intellectual property rights are transferred to Customer. No rights are granted other than the rights expressly set forth herein. OSS may use the trademarks or name of the Customer in promotional and advertising material related to distribution of the Program. I.
